IPO Preparation Sharpens Operations and Governance — Even Without Listing

Preparing for an IPO can sharpen a company's operations and governance even if it never lists; an IPO Clinic for startups and growth companies will be held at Platform 6 in Tampere on 5 February.

Preparing for a stock market listing can reset a company's operations and strengthen governance even if it never goes public, Nasdaq Nordic says. That work can be valuable even if an IPO never happens. Business Tampere will host an IPO Clinic for startups and growth companies at Platform 6 in Tampere on 5 February.

Erja Retzén, head of client relations for Nasdaq’s Nordic markets, says listing preparations improve reporting, predictability and visibility and can prompt operational adjustments that boost efficiency. When a listing includes a share offering, companies can also raise equity to finance growth. Recent data show five to ten companies a year typically list on Nasdaq Helsinki and the Nasdaq First North Growth Market; 2021 was an outlier, with 31 companies listing — 26 with share offerings.

A fundamentally healthy company can pursue a listing in many market conditions, Retzén says, though turbulent markets make investors more cautious. Many firms take a dual-track approach, preparing both for a public listing and for a possible sale to preserve options and strengthen negotiating position. Boards, she adds, now need more experience of listings or corporate transactions than in the past.

The IPO Clinic is aimed at companies weighing listing plans and financing strategies. Retzén pushed back on the misconception that an IPO inevitably quashes creativity, saying that while a listing increases visibility and disclosure obligations, it can also make ongoing management easier by clarifying what has already been communicated to investors.
